1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Noesis Infotech ("Company", "we", "our", or "us"), governing your access to and use of the ReviewBot application and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

ReviewBot is a Software-as-a-Service (SaaS) platform that enables businesses to:

• Connect their Google Business Profile via OAuth authentication
• View, filter, and manage their Google Business reviews
• Generate AI-powered responses to reviews using OpenAI
• Automatically post replies to Google Business reviews
• Access analytics and insights about their reviews

4. Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Have a valid Google account
• Have legitimate access to a Google Business Profile
• Have the authority to bind yourself or your organization to these Terms
• Not be prohibited from using the Service under applicable laws

5. Account Registration

5.1 Google Sign-In

The Service uses Google Sign-In for authentication. By signing in, you authorize us to access your Google account information and Google Business Profile data as permitted by the scopes you approve.

5.2 Account Security

You are responsible for maintaining the security of your Google account. You agree to notify us immediately of any unauthorized access to or use of your account.

5.3 Accurate Information

You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

6. User Responsibilities

By using the Service, you agree to:

• Use the Service only for lawful purposes and in compliance with these Terms
• Ensure you have proper authorization to access and manage the Google Business Profiles you connect
• Review and approve AI-generated responses before posting (if using manual approval)
• Comply with Google's Terms of Service and policies regarding review responses
• Not use the Service to post spam, misleading, or inappropriate content
• Not attempt to circumvent any security features of the Service
• Not use the Service to harass, abuse, or harm others
• Provide your own valid OpenAI API key if using AI features

7. AI-Generated Content

7.1 User Responsibility

The Service may generate AI-powered review responses using OpenAI's API. You acknowledge and agree that:

• AI-generated content is provided as suggestions only
• You are solely responsible for reviewing and approving any content before it is posted
• We do not guarantee the accuracy, appropriateness, or quality of AI-generated content
• You must comply with OpenAI's usage policies when using AI features

7.2 API Keys

If you provide your own OpenAI API key, you are responsible for any costs incurred from API usage. We encrypt and securely store your API key but are not liable for any charges from OpenAI.

8. Subscription and Payment

8.1 Free Trial

We may offer a free trial period. At the end of the trial, you will need to subscribe to a paid plan to continue using the Service.

8.2 Subscription Plans

Different subscription tiers are available with varying features and limits. Details of each plan are provided on our pricing page.

8.3 Payment Terms

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable unless otherwise stated
• We reserve the right to change pricing with 30 days' notice
• Failure to pay may result in suspension or termination of your account

9. Intellectual Property

9.1 Our Intellectual Property

The Service, including its original content, features, and functionality, is owned by Noesis Infotech and is protected by international copyright, trademark, and other intellectual property laws.

9.2 Your Content

You retain ownership of any content you submit through the Service. By using the Service, you grant us a limited license to process your content solely for providing the Service.

The Service integrates with third-party services including Google and OpenAI. Your use of these integrations is subject to the respective third-party terms:

We are not responsible for the availability, accuracy, or content of third-party services.

11. Prohibited Uses

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Post false, misleading, or fraudulent review responses
• Engage in any form of automated data collection without authorization
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Transmit viruses, malware, or other malicious code
• Impersonate any person or entity
• Use the Service for competitive analysis without consent

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The results obtained from the Service will be accurate or reliable
• AI-generated content will be appropriate for your needs
• Any errors in the Service will be corrected

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOESIS INFOTECH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Business interruption
• Damages arising from AI-generated content
• Damages arising from third-party service failures
• Any damages arising from your use or inability to use the Service

Our total liability shall not exceed the amount paid by you for the Service in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless Noesis Infotech, its proprietor, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you post through the Service

15. Termination

15.1 Termination by You

You may terminate your account at any time by disconnecting your Google account and contacting us to delete your data.

15.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice, if:

• You breach these Terms
• Your subscription payment fails
• We are required to do so by law
• We discontinue the Service

15.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your data within 30 days of termination.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Thane, Maharashtra, India.

17. Dispute Resolution

Before initiating any legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at prajesh@noesistech.com. We will attempt to resolve the dispute within 30 days.

18. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

20. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Noesis Infotech regarding the Service and supersede all prior agreements and understandings.
